Virginia is a state of two halves. Virginia business formations are filed with the Virginia State Corporation Commission (SCC), Office of the Clerk via SCC eFile at scc.virginia.gov.

- Domestic LLC Articles of Organization (Form LLC-1011): filing fee is currently $100.
- Domestic for-profit corporation Articles of Incorporation: filing fee scales with authorized shares (minimum $75) — verify on the SCC fee schedule.

Annual Registration Fee — Virginia's every-year filing
- Virginia LLC annual registration fee: currently $50, due by the last day of the entity's anniversary month.
- Virginia corporation annual registration fee: scales with authorized shares (minimum $100 for up to 5,000 authorized shares; maximum currently $1,700+ for very high share counts).
Virginia does not require a separate informational annual report; payment of the annual registration fee fulfills the requirement.
Sales tax
The Virginia Department of Taxation handles sales/use tax. Virginia's state sales tax is 5.3% (4.3% state + 1% local) with additional regional add-ons in Northern Virginia, Hampton Roads, and historic triangle areas for combined rates of 5.3–7%.

Virginia Consumer Data Protection Act (VCDPA)
Virginia enacted the Virginia Consumer Data Protection Act in 2021, with the substantive obligations effective January 1, 2023 — making Virginia the second US state with a comprehensive consumer privacy law. The VCDPA applies to persons that conduct business in Virginia or produce products/services targeted to Virginia residents and meet either of the following:
- Control or process the personal data of 100,000 or more Virginia consumers during a calendar year; or
- Control or process the personal data of 25,000 or more Virginia consumers and derive over 50% of gross revenue from the sale of personal data.
Obligations track what's become the standard pattern: privacy notice, consumer rights (access, correction, deletion, portability), opt-out rights for targeted advertising/sale/profiling, opt-in consent for sensitive data, and DPIAs. Notable: the VCDPA does not require recognition of universal opt-out preference signals (a difference from Colorado/Connecticut/etc.). Enforcement is by the Virginia Attorney General with a 30-day cure period.
