New Jersey is the densest state in the country, sandwiched between two of America's largest metros (New York and Philadelphia), and home to a remarkable concentration of pharma (J&J, Merck, Bristol-Myers Squibb, Bayer, Roche), financial services, telecom (Verizon, AT&T), and logistics. The NJDPA privacy law took effect in 2025, raising the website-compliance bar meaningfully for medium-and-larger businesses. Here's the 2026 playbook.
Part 1 — Legal Business Registration Steps in New Jersey
New Jersey business formations are filed with the New Jersey Division of Revenue and Enterprise Services at business.nj.gov.
File your formation documents
- Domestic LLC Public Records Filing for New Business Entity: filing fee is currently $125.
- Domestic for-profit corporation Certificate of Incorporation: filing fee is currently $125 — verify on the Division's fee schedule.
- Business Registration Application (NJ-REG): Required separately to register for tax purposes with the Division of Taxation.
- Registered agent: Required.
Annual Report — New Jersey's $75 every-year filing
Every New Jersey LLC, corporation, and limited partnership must file an Annual Report with the Division of Revenue. The filing fee is currently $75 for LLCs and corporations. The report is due in the entity's anniversary month.
Sales tax and seller's permit
The New Jersey Division of Taxation handles sales/use tax registration via NJ-REG. New Jersey's state sales tax is 6.625%, with the Urban Enterprise Zone reduced rate (currently 3.3125%) in designated UEZ areas.
Part 2 — New Jersey Web Compliance: NJDPA, ADA, and More
New Jersey Data Privacy Act (NJDPA)
New Jersey enacted the New Jersey Data Privacy Act in 2024, with the substantive obligations taking effect January 15, 2025. The NJDPA applies to controllers that conduct business in New Jersey or produce products/services targeted to New Jersey residents and meet either of the following:
- Control or process the personal data of 100,000 or more New Jersey consumers annually; or
- Control or process the personal data of 25,000 or more New Jersey consumers and derive revenue or receive discounts from the sale of personal data.
Obligations track the standard pattern: privacy notice; consumer rights to access, correction, deletion, and portability; opt-out rights for targeted advertising, sale, and certain profiling (with universal opt-out mechanism recognition required); opt-in consent for sensitive data; and data protection assessments. Notably, the NJDPA includes specific protections for financial information as sensitive data (broader than most peer states) and stronger protections for minors aged 13–17. Enforcement is by the New Jersey Attorney General.
Website accessibility
Title III of the ADA applies. New Jersey is a meaningful ADA-website-lawsuit jurisdiction with filings concentrated in the District of New Jersey and often parallel filings in the Southern District of New York. Build to WCAG 2.1 Level AA.
Part 3 — Strategic Web Design for New Jersey Industries
New Jersey's economy concentrates around pharma, biotech, and life sciences (J&J in New Brunswick, Merck in Rahway, Bristol-Myers Squibb in Princeton, Bayer, Roche, plus the broader contract manufacturing ecosystem), logistics, ports, and e-commerce fulfillment (Port Newark-Elizabeth, the I-95/I-78 fulfillment corridor, Amazon, UPS, FedEx hubs), and financial services (the back-office and trading floors of much of Wall Street).
