  • Domestic LLC Articles of Organization: filing fee is currently $125 ($100 filing fee + $25 registered-agent designation fee).
  • Domestic for-profit corporation Articles of Incorporation: filing fee is currently $70 ($35 + $35 for the registered-agent designation and certified copy), with additional optional fees for a certificate of status and certified copy.
  • Registered agent: Required for every entity; must have a Florida street address.

Annual Report — Florida's every-year filing

Every Florida LLC, corporation, and limited partnership must file an Annual Report with Sunbiz between January 1 and May 1 each year. Filing fees are currently:

  • LLC annual report: $138.75
  • Profit corporation annual report: $150
  • Limited partnership annual report: $500

Miss the May 1 deadline and a $400 late fee automatically applies. Failing to file by the third Friday in September results in administrative dissolution.

Sales tax and seller's permit

The Florida Department of Revenue (FDOR) handles sales and use tax registration via floridarevenue.com. Florida's state sales tax is 6%, with most counties layering on discretionary sales surtaxes. Remote sellers crossing Florida's economic-nexus threshold must register and collect.

Local business tax receipt

Most Florida counties and cities require a Local Business Tax Receipt (formerly "occupational license") before you can operate. Miami-Dade, Broward, Palm Beach, Hillsborough, Orange, and many other counties all run their own systems. Some industries (real estate, contractors, healthcare) also require state-level professional licensure through the Department of Business and Professional Regulation or another agency.
